These terms and conditions apply to quotes, orders and products supplied by Lion Packaging, and to your use of lionpackaging.ca. In these terms, “Lion Packaging”, “we” and “us” mean the Lion Packaging company named on your quote or invoice, and “you” means the customer.
1. Scope
These terms apply to every quote we issue and every purchase order we accept, and they take priority over any different terms in your documents. By placing an order, approving a proof or accepting or paying for products, you agree to them.
2. Prices and taxes
Prices are based on the specifications you give us. They do not include sales, use or excise taxes, duties or customs charges, which you are responsible for.
3. Proofs and approval
We start production only after you approve your proof. Please check every proof carefully: once approved, you are responsible for the artwork, text, spelling, barcodes and regulatory content shown on it.
4. Samples and suitability
You are responsible for testing samples to confirm that the packaging suits your product, your filling and labelling equipment and the regulations that apply to you. Approving a sample or placing an order confirms that the packaging meets your requirements.
5. Orders and cancellation
Accepted orders cannot be cancelled. Once production has started, you are responsible for the full cost of the order.
6. Delivery and risk
Delivery dates are estimates. Unless we agree otherwise in writing, products are delivered FOB our Ontario warehouse, and risk passes to you when products are handed to the carrier or when we tell you they are ready for pickup, whichever is earlier. We choose the shipping method unless you instruct us otherwise.
7. Payment
Payment is due as stated on our invoice. We may require payment in advance or other security before starting or shipping an order.
8. Warranty
We warrant that our products are free from defects in materials and workmanship under normal use. If a product is defective, we will repair, replace or refund it, at our option. This warranty replaces all other warranties, express or implied, to the extent the law allows.
9. Returns and claims
Report defective or incorrect products within two days of receiving your order. Returns are accepted only with our approval, and replacements or refunds follow our inspection.
10. Limitation of liability
We are not liable for indirect, incidental or consequential losses, including lost profits, production delays or harm to reputation. Our total liability for any claim is limited to the price you paid for the products involved.
11. Compliance and indemnity
You are responsible for making sure your packaging, artwork and use of our products comply with the laws and regulations that apply to your products and markets. You agree to indemnify us against claims arising from your breach of these terms or misuse of our products.
12. Artwork and intellectual property
You confirm that you have the right to use the artwork, logos and trademarks you send us. The content of this website belongs to us and may not be copied or used without our permission.
13. Confidentiality
Each of us will keep the other’s non-public business information confidential.
14. Events beyond our control
We are not responsible for delays or failures caused by events beyond our reasonable control.
15. Privacy
Our privacy policy explains how we handle personal information.
16. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there.
17. General
Notices must be given in writing. If any part of these terms is found unenforceable, the rest remains in effect. A failure to enforce a term is not a waiver. You may not assign an order without our consent. These terms, with your quote and invoice, are the entire agreement between us. We may update these terms from time to time, and the version in effect when you place an order applies to that order.
